The Malta Business Registry (MBR) has issued a notice advising companies which require transactions to be finalised before end of December 2025 and which involve a three month notice period, to submit the necessary documents to the MBR by no later than 12th September 2025. This will allow for the processing and mandatory publication by 30th September 2025, thus ensuring that the three month period does not lapse beyond the end of December 2025.
Which transactions are affected by this notice?
The provisions of the Malta Companies Act require a 3 month publication period in order for certain transactions to become effective; primarily those which may impact creditors. These could be liquidations, mergers, divisions, reduction of share capital or cancellation of shares or re-domiciliations.
