Initial contact
We will speak with you to understand your intended structure, operations and transactions and guide you as to the most appropriate legal form and the requirements of Maltese law and practice.
Due Diligence and onboarding
Following our discussions we will ask you to provide the relevant due diligence information and documentation which we will analyse in order to satisfy our know your client obligations, following which we will complete our onboarding process and conclude our letter of engagement.
Company Incorporation booklet
We will ask you to complete our Company Incorporation booklet which will formalise your intended legal and management structure, objects, officers and capitalisation and provide the necessary details for us to draft the incorporation documents.
Drafting of M&A and other incorporation documents
We will draft the company’s statute referred to as the Memorandum and Articles. We shall also prepare beneficial ownership declarations where required as well as declarations by the directors of the companies indicating their willingness to take office.
Registration
Once you have reviewed the documents and remitted the company’s share capital we shall submit the incorporation documents together with any required due diligence documents and the incorporation fee to the Malta Business Registry where we would expect the company to be incorporated within a week.
Certificate of registration
Once the company is incorporated the Registry will issue a certificate of registration which is the official document certifying the creation of the company as a separate and distinct legal entity
